Annual Business Compliance Checklist Kenya: Stay Legal & Active

Every private limited company registered in Kenya, whether active or dormant, is legally required under the Companies Act to file annual returns with the Registrar of Companies. An annual return is not a financial statement; it is a statutory update confirming your company's current structure.

1.Log in to eCitizen & Navigate to BRS:

Accessing the Portal.

Log into your eCitizen account

Select Business Registration Service (BRS) from your service dashboard.

2.Select Your Company Under 'My Businesses':

Identifying the Entity.

Navigate to My Businesses

Ensure your company has been linked on the portal.

Select the target business profile.

3.Verify Company Particulars:

Data Verification.

Click Maintain Company and select File Annual Returns.

Review the pre-populated details:

  • Registered Office Address & Building.
  • Current Directors and Shareholders.
  • Nominal and Allocated Share Capital.

4.Generate Form, Sign, and Submit:

Document Upload & Submission.

Download the auto-generated annual return form. 

Sign the document, scan it, and re-upload it back to the platform.

5.Pay Filing Fee & Download Receipt:

Payment & Confirmation.

Pay the required processing fee via M-Pesa or card through eCitizen. Once approved, download your compliance acknowledgment receipt.
