How to Change Company Directors & Address on BRS Kenya

When your company moves to a new physical office or experiences a change in board members, the law requires you to notify the Registrar of Companies within 14 days. Updates are processed directly on BRS Version II.

Types of Business Details You Can Update

  • Change of Registered Address: Updating physical building, street, postal address, or email.
  • Director/Shareholder Changes: Appointing a new director, removing (ceasing) an existing director, or transferring shares.
  • Beneficial Ownership Updates: Updating natural persons who hold ultimate control (directly or indirectly over 10% interest).

Step-by-Step: Submitting a Change of Particulars

1.Prepare Required Resolutions:

Prerequisites.

Prepare the necessary internal legal documentation before initiating changes online:

  • Board/General Resolution approving the change (e.g., Director resignation/appointment).
  • Copy of ID/Passport and KRA PIN for new officers.
  • Signed consent forms for new directors.

2.Select 'Maintain Company' on BRS:

Initiating Application.

Log into BRS Version II via eCitizen. 

Select your company, click Maintain Company, and choose Company Structure Update Service.

3.Choose the Particulars to Modify:

Selecting Changes.

Select the appropriate process:

  • Option 1: Board Resolution (for director appointments/cessations or share transfers).
  • Option 2: General Meeting of the Company (for special resolutions).

4.Fill Details & Upload Executed Forms:

Data Entry & Uploads.

Enter the new address details or new director credentials.

Upload the signed board resolution and supporting identification documents.

5.Pay and Await Registrar Review:

Fee Payment.

Submit the application and pay the statutory modification fee. 

The Registrar will review and issue an updated official search (CR12).
